REVIVE STRENGTH GYM

Membership Agreement, Assumption of Risk, Release of Liability, and Facility Policies

Please read this Agreement carefully before signing. By signing below, you acknowledge that you have read, understand, and agree to all of the terms and conditions contained herein.

1. Assumption of Risk

I understand that the use of fitness equipment, participation in strength training, cardiovascular exercise, stretching, functional training, group fitness activities, and any other physical activity at Revive Strength Gym involves inherent risks.

These risks include, but are not limited to:

• Muscle strains and sprains

• Torn ligaments or tendons

• Fractures

• Falls

• Equipment malfunction

• Slips and trips

• Heat-related illness

• Heart attack

• Stroke

• Serious bodily injury

• Permanent disability

• Death

I voluntarily and knowingly assume all risks associated with my participation and use of the facility.

2. Release of Liability

To the fullest extent permitted under California law, I voluntarily release, waive, discharge, and covenant not to sue Revive Strength Gym, its owners, members, managers, employees, independent contractors, trainers, agents, affiliates, successors, assigns, and representatives from any and all claims, liabilities, demands, damages, losses, expenses, attorney’s fees, or causes of action arising out of or related to my use of the facility or participation in any activity, except to the extent caused by gross negligence or willful misconduct.

This release applies whether injuries arise from the use of equipment, participation in exercise, accidents, slips or falls, interactions with other members, or any other activity occurring on the premises.

3. Acknowledgment of 24-Hour Access

I understand that Revive Strength Gym operates as a 24-hour access facility.

I acknowledge that:

• The gym may be unstaffed during many hours of operation.

• Emergency medical assistance may not be immediately available.

• I am solely responsible for exercising safely.

• I will use equipment only for its intended purpose.

• I understand that exercising alone presents additional risks.

• I assume full responsibility for choosing to use the facility during unstaffed hours.

I understand that I should immediately stop exercising if I experience dizziness, chest pain, shortness of breath, faintness, unusual pain, or any other symptoms suggesting a medical emergency.

4. Electronic Access Policy

I understand that my access credential, mobile credential, key fob, key card, physical key, PIN, or other method of entry is issued solely to me.

I agree that I will not:

• Share my access credentials.

• Not copy any physical key

• Allow another person to enter using my access.

• Hold doors open for individuals who do not independently authenticate.

• Permit unauthorized persons to use the facility.

Any violation may result in immediate suspension or termination of my membership without refund and may subject me to financial responsibility for damages or losses caused by unauthorized entry.

5. Security Camera Acknowledgment

I understand and acknowledge that Revive Strength Gym utilizes video surveillance throughout portions of the facility for security, safety, theft prevention, incident investigation, and operational purposes.

By entering the facility, I consent to being recorded by these security cameras.

I understand that surveillance footage may be used in connection with investigations, insurance claims, law enforcement requests, legal proceedings, or enforcement of gym policies.

6. Medical Certification

I certify that I am physically capable of participating in exercise activities.

If I have any medical condition, injury, illness, or concern regarding my ability to exercise safely, I understand that it is my responsibility to obtain medical clearance from my physician before participating.

I acknowledge that Revive Strength Gym has not provided medical advice or evaluated my physical condition.

7. Equipment Inspection

I agree to inspect equipment before each use.

If I notice damaged, worn, broken, or unsafe equipment, I will discontinue use immediately and notify gym management as soon as possible.

I understand that I should never use equipment that appears unsafe.

8. Personal Responsibility

I agree to exercise within my own physical limitations.

I understand that I am responsible for:

• Selecting appropriate weights.

• Using proper lifting techniques.

• Using safety equipment when appropriate.

• Returning equipment after use.

• Maintaining awareness of my surroundings.

9. Personal Property

Revive Strength Gym is not responsible for lost, stolen, or damaged personal belongings, including but not limited to:

• Wallets

• Phones

• Jewelry

• Keys

• Clothing

• Gym bags

• Electronic devices

• Vehicles or their contents

I assume all risk regarding my personal property.

10. Emergency Medical Care

If I become ill, unconscious, injured, or otherwise require emergency assistance while on the premises, I authorize Revive Strength Gym employees, agents, or emergency responders to obtain emergency medical treatment on my behalf.

I understand that I am solely responsible for all medical expenses incurred.

11. Indemnification

I agree to indemnify, defend, and hold harmless Revive Strength Gym and its owners, employees, contractors, affiliates, and agents from any claims, damages, liabilities, costs, expenses, or attorney’s fees arising from:

• My negligence;

• My violation of gym rules or this Agreement;

• Damage to gym property caused by me;

• Injury to another person caused by my actions.

12. Gym Rules

I agree to comply with all posted rules and policies, including but not limited to:

• Wipe down equipment after use.

• Re-rack all weights.

• Wear appropriate athletic attire.

• Wear closed-toe athletic shoes.

• Do not misuse equipment.

• Do not engage in unsafe or reckless behavior.

• Respect other members and staff.

• No harassment, threats, violence, discrimination, or disruptive conduct.

• No smoking, vaping, illegal drugs, or alcohol on the premises.

• No weapons are permitted, except as otherwise required by applicable law.

Violation of these rules may result in immediate suspension or termination of membership without refund.

13. Photo and Video Release

I understand that Revive Strength Gym may periodically photograph or record video within the facility for marketing, promotional materials, social media, educational content, or other business purposes.

Unless I notify Revive Strength Gym in writing that I decline to participate, I grant Revive Strength Gym permission to use photographs or video in which I may appear, without compensation, for lawful promotional purposes.

I understand that I may revoke this authorization prospectively by submitting a written request to gym management, but such revocation will not affect materials already produced or published.

14. Arbitration and Governing Law

Any dispute arising out of or relating to this Agreement or my use of Revive Strength Gym shall be governed by the laws of the State of California.

To the extent permitted by applicable law, the parties agree to attempt to resolve disputes through good-faith negotiation before initiating litigation or any other legal proceeding. Nothing in this Agreement waives any rights or remedies that cannot legally be waived under California law.

15. Severability

If any portion of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

This Agreement constitutes the entire understanding between Revive Strength Gym and the Member regarding the subject matter herein and supersedes any prior oral or written agreements relating to these matters.

Member Acknowledgment

By signing below, I acknowledge that:

• I have carefully read this entire Agreement.

• I fully understand its contents.

• I understand that I am giving up certain legal rights, including the right to bring certain legal claims, to the fullest extent permitted by law.

• I have had the opportunity to ask questions before signing.

• I sign this Agreement voluntarily and without coercion.

REVIVE STRENGTH GYM

Membership Agreement and Recurring Payment Authorization

This Membership Agreement (“Agreement”) is entered into between Revive Strength Gym (“Gym”) and the undersigned Member (“Member”).

By signing below, the Member acknowledges that they have read, understand, and agree to all of the terms and conditions contained in this Agreement.

1. Member Information

3. Membership Term

This membership begins on the Membership Start Date listed above and shall continue on a month-to-month basis until properly canceled in accordance with this Agreement.

4. Recurring Payment Authorization

I authorize Revive Strength Gym, or its designated payment processor, to automatically charge my credit card, debit card, bank account, or other approved payment method for:

• Monthly membership dues;

• The Annual Member Enhancement Fee described in this Agreement; and

• Any other authorized fees or charges permitted under this Agreement.

I understand that:

• Monthly membership dues will automatically be charged each month on or about my scheduled billing date.

• My payment authorization will remain in effect until my membership is properly canceled in accordance with this Agreement.

• Maintaining a valid payment method on file is a condition of membership.

• Updating, replacing, canceling, or closing my payment method does not cancel my membership or this authorization.

5. Failed or Declined Payments

If any payment is declined for any reason, I understand that:

• Revive Strength Gym may attempt to process payment again.

• I remain responsible for all unpaid membership dues and authorized fees.

• My membership and facility access may be suspended until my account is brought current.

• Any applicable late fees, returned payment fees, collection costs, or attorney’s fees (if permitted by law) may be assessed.

6. Annual Member Enhancement Fee

To continually improve the quality of the Member experience, Revive Strength Gym invests in new equipment, facility improvements, enhanced amenities, technology upgrades, and ongoing maintenance designed to provide Members with a premier fitness environment.

Each Member agrees to pay an Annual Member Enhancement Fee of $150.00, which will be automatically charged once each year to the payment method on file.

This annual fee is separate from monthly membership dues and helps support ongoing investments, including but not limited to:

• New strength and cardio equipment

• Equipment upgrades and replacement

• Facility renovations and improvements

• Recovery and wellness amenities

• Technology enhancements

• Cleaning and maintenance improvements

• Safety upgrades

• Additional amenities and improvements designed to enhance the overall Member experience

The Annual Member Enhancement Fee will be charged annually on or around the anniversary of the Member’s enrollment date unless otherwise communicated by Revive Strength Gym.

By signing this Agreement, I authorize Revive Strength Gym to charge this annual fee to my payment method on file.

The Annual Member Enhancement Fee is non-refundable except where required by applicable law.

7. Member Responsibilities

The Member agrees to:

• Maintain a valid payment method on file at all times.

• Promptly update payment information if a card expires or banking information changes.

• Notify Revive Strength Gym if contact information changes.

Failure to maintain accurate payment information does not relieve the Member of any financial obligations under this Agreement.

8. Cancellation Policy 

Hassle-Free Cancellation

At REVIVE Strength Gym, we don’t believe in locking our members into complicated cancellation policies or long-term commitments. We believe your membership should be based on the value you receive—not because you’re stuck in a contract.

If you decide to cancel your membership, simply email connect@revivestrengthgym.com with:

• Your full name as it appears on your membership.
• The phone number you used when signing up.

Please allow up to five (5) business days for our billing system to fully process your cancellation request. To avoid an upcoming scheduled payment, we recommend submitting your cancellation request at least five business days before your next billing date, as payments that are already in the processing cycle cannot be stopped or reversed.

For Members who have been issued a physical facility key: Member must physical come to REVVE Strength Gym to fill out a Cancellation Form and return REVIVE's key at the same time, Failure to return the key may compromise the security of the facility and require Revive Strength Gym to replace or rekey locks, produce replacement keys, and incur additional labor and administrative expenses.

Accordingly, if a physical facility key is not returned at the time the Membership Cancellation Form is signed, the Member agrees to pay a Security Rekeying Fee of $500.00. The Member expressly authorizes Revive Strength Gym to charge this fee to the payment method on file.

Termination by Revive Strength Gym

Revive Strength Gym reserves the right to suspend or terminate any membership, revoke 24-hour access privileges, or immediately deactivate any access credential for violation of this Agreement, the Liability Waiver, the Gym Rules and Code of Conduct, nonpayment, misuse of the facility, unauthorized entry, or any conduct that jeopardizes the safety, security, or enjoyment of the facility by Members or staff.

Termination of membership does not relieve the Member of responsibility for any outstanding financial obligations owed to Revive Strength Gym.

9. Membership Is Personal

Memberships are non-transferable.

Only the individual named in this Agreement may use the membership or enter the facility.

Sharing membership privileges, lending access credentials, or allowing unauthorized entry may result in immediate suspension or termination of membership without refund.

10. Facility Rules

The Member agrees to comply with all posted Gym Rules, Code of Conduct, policies, procedures, and staff instructions.

Failure to comply may result in suspension or termination of membership.

11. Membership Rate Changes

Revive Strength Gym reserves the right to adjust membership dues, fees, or other charges by providing at least thirty (30) days’ prior notice, unless otherwise required by applicable law.

12. Entire Agreement

This Agreement, together with the Liability Waiver and Assumption of Risk Agreement, Gym Rules and Code of Conduct Agreement, Emergency Contact Form, and any additional documents signed by the Member, constitutes the entire agreement between Revive Strength Gym and the Member.

No verbal statements or promises made by employees or representatives shall modify this Agreement unless made in writing and signed by an authorized representative of Revive Strength Gym.

Payment Authorization Acknowledgment

By signing below, I acknowledge and agree that:

• I authorize recurring automatic monthly membership payments.

• I authorize the annual $150.00 Annual Member Enhancement Fee.

• I authorize Revive Strength Gym to charge any authorized fees described in this Agreement, including applicable late fees, returned payment fees, Security Rekeying Fees, or other charges authorized herein.

• I certify that I am an authorized user of the payment method provided.

• I understand that recurring payments will continue until my membership is properly canceled in accordance with this Agreement.

• I understand that maintaining a valid payment method on file is required to maintain an active membership.

Member Acknowledgment

By signing below, I acknowledge that:

• I have carefully read this Membership Agreement.

• I fully understand all of its terms and conditions.

• I understand that my membership automatically renews each month until properly canceled.

• I understand that a separate Liability Waiver, Assumption of Risk Agreement, and Gym Rules and Code of Conduct Agreement are part of my membership.

• I authorize recurring automatic payments as described in this Agreement.

• I agree to comply with all membership policies and facility rules.

REVIVE STRENGTH GYM

Gym Rules and Code of Conduct Agreement

The purpose of these rules is to provide a safe, clean, respectful, and enjoyable environment for all members. By signing this Agreement, you acknowledge that you have read, understand, and agree to comply with the following rules and policies.

1. Member Access

• Memberships are non-transferable.

• Only the individual assigned the membership may enter the facility.

• Members must use their own access credentials each time they enter.

• Members may not allow non-members to enter (“tailgating”), hold doors open for unauthorized persons, or share access credentials.

• Members are responsible for ensuring doors close securely after entering or exiting.

Unauthorized entry or sharing of access credentials may result in immediate suspension or termination of membership without refund.

2. Twenty-Four Hour Facility

Revive Strength Gym provides 24-hour access for members.

During unstaffed hours, members understand and agree that:

• Staff may not be present.

• Emergency assistance may not be immediately available.

• Members exercise entirely at their own risk.

• Members should use good judgment and avoid activities beyond their abilities.

• Members should call 911 immediately in the event of an emergency.

3. Respect for Others

Members agree to:

• Treat fellow members, guests, staff, and contractors with courtesy and respect.

• Use respectful language at all times.

• Avoid disruptive or intimidating behavior.

• Respect others’ personal space.

• Share equipment during busy periods.

Harassment, discrimination, bullying, threats, fighting, intimidation, stalking, or abusive behavior of any kind will not be tolerated.

4. Equipment Use

Members agree to:

• Use equipment only as intended.

• Follow posted instructions.

• Return all weights, dumbbells, bars, plates, kettlebells, and accessories after use.

• Wipe down equipment after each use.

• Report damaged or malfunctioning equipment immediately.

• Never intentionally damage equipment or property.

Dropping weights excessively, misusing equipment, or engaging in reckless behavior is prohibited unless the equipment is specifically designed for that purpose.

5. Cleanliness

Members agree to:

• Maintain good personal hygiene.

• Wear clean workout attire.

• Use a towel when appropriate.

• Dispose of trash properly.

• Help maintain a clean facility.

6. Appropriate Attire

Members must wear:

• Athletic clothing suitable for exercise.

• Closed-toe athletic shoes at all times while exercising.

The following are prohibited:

• Bare feet (except during instructor-approved activities, if applicable)

• Sandals

• Open-toe shoes

• Clothing with offensive language or images

7. Safety

Members agree to:

• Exercise within their physical abilities.

• Use spotters when appropriate.

• Stop exercising if they experience pain, dizziness, or illness.

• Avoid unsafe or reckless behavior.

• Respect all posted safety instructions.

8. Prohibited Conduct

The following are strictly prohibited:

• Smoking, vaping, or tobacco use

• Alcohol

• Illegal drugs

• Being under the influence of drugs or alcohol

• Possession or use of illegal substances

• Theft

• Vandalism

• Defacing gym property

• Gambling

• Solicitation or unauthorized sales

• Unauthorized personal training or coaching for compensation

• Filming or photographing other members without their consent

• Loud, offensive, or abusive language

• Fighting or threatening behavior

• Bringing animals into the facility, except service animals as permitted by law

9. Personal Belongings

Members are responsible for their own personal property.

Revive Strength Gym is not responsible for lost, stolen, or damaged belongings.

Members should avoid leaving valuables unattended.

10. Children and Visitors

Only active members and authorized guests, if permitted by Gym policy, may enter the facility.

Children may not accompany members into workout areas unless expressly authorized by management.

11. Security and Surveillance

Members acknowledge that portions of the facility are monitored by video surveillance for security and safety purposes.

Tampering with security equipment, emergency systems, doors, locks, cameras, or access controls is strictly prohibited.

12. Emergencies

In the event of an emergency:

• Call 911 immediately.

• Notify gym management as soon as practical.

• Do not move an injured person unless necessary for immediate safety.

• Report all accidents, injuries, or property damage to management.

13. Lockers

If lockers are provided:

• Lockers are for daily use unless otherwise designated.

• The Gym is not responsible for items left in lockers.

• Management reserves the right to remove locks and contents from lockers left beyond permitted use or when necessary for safety or maintenance.

14. Membership Violations

Violation of these rules may result in one or more of the following:

• Verbal warning

• Written warning

• Temporary suspension

• Revocation of 24-hour access privileges

• Immediate termination of membership without refund

• Removal from the premises

• Referral to law enforcement when appropriate

Revive Strength Gym reserves the right to determine the appropriate disciplinary action based on the nature and severity of the violation.

15. Changes to Rules

Revive Strength Gym may update these rules from time to time. Updated rules become effective upon posting in the facility or providing notice to members through email, the member portal, or other reasonable means.

Member Acknowledgment

I acknowledge that I have received, read, and understand the Revive Strength Gym Rules and Code of Conduct.

I agree to comply with all policies and understand that failure to do so may result in disciplinary action, including suspension or termination of my membership and/or 24-hour access privileges.
